OFFICIAL CALL RESPONSE - Dear Colorado Republican Party SCC Members, We acknowledge the message sent by Vice-Chairwoman Hope Scheppelman but must respectfully disagree with its characterization of Todd Watkin's Official Meeting Call and its legality. We maintain that Mr. Watkin's member meeting call is valid and proper for the following reasons: - Validity of the call: The member meeting call was issued in full compliance with Article VII Section D.3 of the CRC Bylaws, following the proper procedures for member-initiated special meetings.
- Verification and submission: We assert that our request was properly verified and submitted according to bylaws. We have documentation to support this claim.
- Timing: Our call was issued within the prescribed timeframe after the chairman failed to properly call the meeting as required by the bylaws.
- Legal standing: We believe our actions are in full compliance with both the CRC Bylaws and Colorado state law, specifically the Colorado Revised Nonprofit Corporation Act (C.R.S. § 7-121-101 et seq.).
- Member rights: We remind all members that Colorado law protects the rights of nonprofit organization members to call and hold meetings under certain circumstances (C.R.S. § 7-127-102).
- Dispute resolution: We are open to resolving this dispute through proper channels, including mediation or, if necessary, seeking a declaratory judgment from a court to affirm the validity of our meeting.
- Continuation of meeting: Given our belief in the legality of our actions, we intend to proceed with the properly called meeting as scheduled.
We urge all members to attend Todd Watkin's meeting and participate in the democratic process of our organization. We also recommend that members seek independent legal advice if they have concerns about the validity of either meeting call. Our intention is to uphold the integrity of the Colorado Republican Party and ensure that member rights are respected in accordance with our bylaws and state law.
